Lewton-Rich Neighborhood Association

NAME:  

The name of this organization shall be Lewton-Rich Neighborhood Association (LRNA).

PURPOSES:

  1. To contribute to the community by supporting and initiating activities beneficial to the neighborhood, city of Lansing and the society in general
  2. To work cooperatively in solving problems affecting the health, safety and general welfare of LRNA residents.
  3. To establish effective communication links among LRNA residents, local governments and the community.
    1. Support and work with the efforts of other neighborhood groups and organizations as an example, the Neighborhood Watch.

ARTICLE I  ORGANIZATION

SECTION 1.  OFFICERS:

LRNA shall have a chairperson, vice chairperson, secretary and treasurer.  These officers shall be elected and shall serve until their successors are elected.  

SECTION 2.  DUTIES OF OFFICERS:

  1. Chairperson:  Shall preside at general membership and co-sign checks on behalf of LRNA.
  2. Vice-Chairperson:  Shall conduct meetings when the Chairperson is absent and represent the organization when the Chairperson is unable to do so.
  3. Secretary:  Shall record all minutes of all  LRNA meetings, shall assume correspondence duties as required, shall maintain those files and records as requested by LRNA.
  4. Treasurer:  Shall receive and deposit all funds to the LRNA account, authorized to co-sign checks on behalf of LRNA, shall make financial report at general membership meetings, shall  make financial records available when requested, shall arrange for a yearly audit of the financial records.

SECTION 3.  BOARD OF DIRECTORS: 

Shall be the four (4) officers named in Article I, Section 1, and also three (3) additional board members representing the neighborhood.

SECTION 4.  DUTIES OF THE BOARD OF DIRECTORS: 

Set the agenda for all meetings, and shall act for LRNA, between general meetings and shall have all powers to do so, minutes of all meetings will be maintained for review by the membership in addition to a report of actions by the Board of Directors at the next membership meeting.

ARTICLE II  - MEMBERSHIP

SECTION 1.

Members:  A member is any person owning or residing within the geographical area of Mt. Hope on the north, Pleasant Grove on the east, Victor on the south (and including Friendship Baptist Church), and Deerfield on the west (with an imaginary line extending to Mt. Hope, which would include the Grand Manor complex), that expresses a desire to belong and contribute their energies to the group.

ARTICLE III - MEETINGS

SECTION 1.

The general membership and Board of Directors’ meetings of  LRNA  shall be held at such time and place as may be designated by the Board of Directors.  Special meetings may be called for any reason at the request of three members of the Board of Directors or upon request by five other members of  LRNA at least 24-hours notice shall be given, either by phone or in person, before a special meeting can be held.  

ARTICLE IV - ELECTIONS

SECTION 1. 

Elections shall be held at the regular January meeting.  At this meeting, the general membership shall elect all officers for a one-year term.  Officers are eligible for re-election.

If a member of the Board of Directors misses two (2) consecutive meetings without excuse, the Director shall immediately be removed from office and that position shall become vacant and be filled at the next general membership meeting for the remainder of that position’s term.

ARTICLE V - RULES

SECTION 1.

Unless otherwise written in these By-Laws meetings of LRNA  shall be conducted according to “Roberts’ Rules of Parliamentary Procedure”.

ARTICLE VI - AMENDMENTS

SECTION 1.

All proposed amendments to these By-Laws must be presented at one general meeting and voted on at the next.  These By-Laws can be amended in any general meeting by 75% of those present at the meeting, as allowed in “Roberts’ Rules of Order”.
